1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the CoinTracer platform, website, and associated services (collectively, the "Platform") operated by CoinTracer LTD, a company registered in England and Wales under Company Number 16869612 ("CoinTracer", "we", "us", or "our").

By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or policies incorporated herein by reference. If you do not agree to these Terms, you must not use the Platform.

We reserve the right to update these Terms at any time. Where changes are material, we will notify you by email or via an in-app notice. Your continued use of the Platform after any changes constitutes acceptance of the updated Terms.

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age, or the age of legal majority in your jurisdiction if higher;

  • Have the legal capacity to enter into a binding contract in your jurisdiction;

  • Not be located in, or a resident of, any country or territory subject to applicable sanctions or where use of the Platform is prohibited by law;

  • Not be acting on behalf of any person or entity who is prohibited from using the Platform.

By creating an account, you represent and warrant that you meet all eligibility requirements. CoinTracer reserves the right to verify your eligibility at any time and to suspend or terminate your account if we reasonably believe you do not meet these requirements.

3. Account Registration and Security

To access certain features of the Platform, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information;

  • Maintain and promptly update your account information to keep it accurate, current, and complete;

  • Keep your login credentials confidential and not share them with any third party;

  • Be solely responsible for all activity that occurs under your account;

  • Notify us immediately at support@cointracer.io if you become aware of any unauthorised access or suspected breach of your account.

CoinTracer reserves the right to refuse registration, suspend, or terminate any account at our sole discretion, including where we suspect misuse, fraud, or breach of these Terms.

4. Platform Services

4.1 Portfolio Tracking and Trade Logging

The Platform enables users to log and track cryptocurrency spot trades and portfolio positions for informational and competitive purposes. The Platform is a tracking and analytics tool only. It does not execute trades, manage assets, or act as a custodian of funds in any form.

4.2 Leaderboard and Competitions

The Platform operates a live performance leaderboard and competitive trading events ("Competitions"). Participation in Competitions may require you to stake CoinTracer tokens ("$CTR"). By entering a Competition, you acknowledge:

  • Competitions are based on self-reported trade performance unless otherwise stated;

  • Staked tokens are pooled, with a percentage distributed to top-ranked participants and a percentage allocated to platform operations, as described in the current Competition rules published on the Platform;

  • Competition results and token distributions are final and at CoinTracer's discretion in the event of any dispute;

  • Competitive rankings do not constitute financial advice or a guarantee of future performance.

4.3 $CTR Token Rewards

CoinTracer may award $CTR tokens to users for completing account registration steps, achieving milestones, or participating in promotional activities. Token rewards are subject to minimum withdrawal thresholds and daily caps, as published on the Platform from time to time. CoinTracer reserves the right to adjust, suspend, or discontinue reward programmes at any time without notice.

4.4 Identity and Reputation Layer

The Platform provides a verified user identity layer to assist the community in identifying legitimate participants and reducing exposure to fraudulent or impersonation activity. Verification is not a guarantee of any individual's trustworthiness, and CoinTracer accepts no liability for the conduct of any user, verified or otherwise.

5. $CTR Token

The $CTR token is a utility token used within the CoinTracer ecosystem for the purposes of Competition entry, reward distribution, and platform engagement. By using any feature involving $CTR, you acknowledge and agree that:

  • $CTR is a utility token and does not represent equity, debt, or any ownership interest in CoinTracer LTD;

  • $CTR is not a security, investment product, or financial instrument under any applicable law. Nothing on the Platform constitutes investment advice;

  • The value of $CTR may fluctuate significantly, and you may lose all tokens you acquire or earn. CoinTracer makes no warranty as to the value, liquidity, or future availability of $CTR;

  • You are solely responsible for ensuring that your acquisition, holding, and use of $CTR complies with all applicable laws and regulations in your jurisdiction, including any tax obligations;

  • CoinTracer does not operate as a cryptocurrency exchange or broker and does not facilitate the purchase or sale of $CTR directly. Secondary market trading occurs on third-party decentralised exchanges at your own risk.

6. Prohibited Conduct

You agree not to use the Platform to:

  • Violate any applicable local, national, or international law or regulation;

  • Submit false, misleading, or fabricated trade data to the Platform;

  • Use automated scripts, bots, or any automated means to access or interact with the Platform without our prior written consent;

  • Attempt to circumvent any security measure, access controls, or reward throttles implemented on the Platform;

  • Engage in market manipulation, wash trading, or any activity designed to artificially inflate Platform metrics;

  • Harvest, scrape, or collect any user data from the Platform without authorisation;

  • Impersonate any person or entity, or misrepresent your identity or affiliation;

  • Upload, transmit, or distribute malicious code, malware, or any content that is illegal, harmful, or objectionable;

  • Use the Platform for money laundering, terrorist financing, or any other unlawful financial activity.

CoinTracer reserves the right to investigate suspected violations and, where appropriate, suspend accounts, withhold rewards, and report activity to relevant authorities.

7. Intellectual Property

All content on the Platform, including but not limited to software, text, graphics, logos, data, and designs, is the property of CoinTracer LTD or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in or licence to use our intellectual property except as strictly necessary to use the Platform for its intended purpose.

You retain ownership of any trade data or content you submit to the Platform. By submitting content, you grant CoinTracer a non-exclusive, worldwide, royalty-free licence to use, display, and process that content solely for the purpose of operating and improving the Platform.

8. Privacy and Data Protection

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and processing of your personal data as described in our Privacy Policy, in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

9. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COINTRACER EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CoinTracer does not warrant that:

  • The Platform will be uninterrupted, error-free, or free from viruses or other harmful components;

  • Any data, trade information, pricing, or rankings displayed on the Platform are accurate, complete, or current;

  • The Platform will meet your individual requirements.

Cryptocurrency markets are highly volatile. Nothing on the Platform constitutes financial, investment, tax, or legal advice. You should seek independent professional advice before making any financial decisions.

10. Limitation of Liability

To the fullest extent permitted by applicable law, CoinTracer LTD, its directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of tokens, loss of data, or goodwill, arising out of or in connection with your use of or inability to use the Platform.

In no event shall CoinTracer's total aggregate liability to you in respect of any claims arising under or in connection with these Terms exceed the greater of: (a) the total amount of $CTR rewards distributed to your account in the twelve (12) months preceding the claim; or (b) one hundred pounds sterling (£100).

Nothing in these Terms limits or excludes CoinTracer's liability for death or personal injury caused by its negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless CoinTracer LTD and its directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of the Platform;

  • Your breach of these Terms;

  • Your violation of any applicable law or the rights of any third party;

  • Any content or data you submit to the Platform.

12. Third-Party Services and Links

The Platform may integrate with or link to third-party services, decentralised protocols, or external websites (including but not limited to Aerodrome Finance, Base chain infrastructure, and wallet providers). CoinTracer has no control over and accepts no responsibility for the content, availability, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

13. Suspension and Termination

CoinTracer reserves the right to suspend or terminate your account and access to the Platform at any time, with or without notice, where:

  • We reasonably believe you have breached these Terms or any applicable law;

  • We are required to do so by law, court order, or regulatory authority;

  • We discontinue the Platform or any material part of it;

  • You have been inactive for a period of twelve (12) months or more.

Upon termination, your right to access the Platform ceases immediately. Any accrued but unclaimed $CTR reward balance below the minimum withdrawal threshold will be forfeited. Any tokens already in your self-custody wallet are unaffected.

You may terminate your account at any time by contacting us at support@cointracer.io.

14. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

In the event of any dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If a resolution cannot be reached within 30 days, either party may refer the dispute to the courts of England and Wales, which shall have exclusive jurisdiction.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional policies published on the Platform, constitute the entire agreement between you and CoinTracer with respect to your use of the Platform and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

No failure or delay by CoinTracer in exercising any right under these Terms shall operate as a waiver of that right.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. CoinTracer may assign its rights or obligations to a successor entity in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure

CoinTracer shall not be liable for any failure or delay in performance arising out of causes beyond its reasonable control, including but not limited to blockchain network outages, regulatory changes, cyberattacks, or acts of God.
